Terms of Service

Welcome to Kaosly. These Terms of Service ("Terms") govern your access to and use of the Kaosly platform, including our website, mobile applications, APIs, and all related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

1. Eligibility

You must be at least 13 years old to use the Service. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. By using the Service, you represent and warrant that you meet all eligibility requirements. We may, in our sole discretion, refuse to offer the Service to any person or entity and change eligibility criteria at any time.

2. Account Registration

To access most features of the Service, you must create an account. When you create an account, you agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information to keep it accurate and complete.
  • Maintain the security and confidentiality of your login credentials.
  • Accept responsibility for all activities that occur under your account.
  • Notify us immediately of any unauthorized use of your account.

You may not use another person's account without their permission. You may not create more than one account per person. We reserve the right to suspend or terminate accounts that violate these Terms.

3. User Content

3.1 Your Content

The Service allows you to post, upload, share, and otherwise make available certain information, text, graphics, videos, audio, or other material ("User Content"). You retain all rights in, and are solely responsible for, the User Content you post to the Service.

3.2 License Grant

By posting User Content on the Service, you grant Kaosly a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Service and Kaosly's business, including for the purpose of promoting and redistributing part or all of the Service.

3.3 Content Representations

You represent and warrant that:

  • You own or have the necessary rights to post the User Content.
  • The User Content does not violate the privacy rights, publicity rights, intellectual property rights, or any other rights of any person or entity.
  • The posting of User Content does not result in a breach of contract between you and a third party.

4. Prohibited Conduct

You agree not to:

  • Post content that is unlawful, defamatory, obscene, pornographic (involving minors), harassing, threatening, abusive, hateful, or racially or ethnically offensive.
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity.
  • Engage in spamming, phishing, or distribute malware.
  • Collect or harvest any personal data of other users without their consent.
  • Use the Service for any illegal or unauthorized purpose.
  • Interfere with or disrupt the Service, servers, or networks connected to the Service.
  • Attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks connected to the Service.
  • Upload or transmit viruses, worms, or any other malicious code.
  • Use bots, scripts, or automated methods to access or interact with the Service without our prior written consent.
  • Circumvent, disable, or otherwise interfere with any security-related features of the Service.
  • Sell, resell, or commercially exploit any part of the Service without our written permission.
  • Encourage or promote any activity that violates these Terms.

5. Virtual Currency (Flicker Coins)

5.1 Purchase and Use

Kaosly may offer virtual currency ("Flicker Coins") that can be used to purchase virtual items, unlock premium content, or send gifts within the Service. Flicker Coins are a limited-license right and have no monetary value outside the Service. Flicker Coins are non-refundable and non-transferable except as expressly permitted within the Service.

5.2 No Real-World Value

Flicker Coins do not constitute currency or property of any type. Kaosly does not guarantee any exchange rate or value for Flicker Coins. You agree that Kaosly has the right to manage, control, modify, or eliminate Flicker Coins at any time in its sole discretion.

5.3 Creator Earnings

Creators may earn revenue through the platform via content monetization, tips, subscriptions, and advertising revenue sharing. Earnings are subject to applicable fees and minimum thresholds before withdrawal. Kaosly reserves the right to modify the revenue-sharing terms with reasonable notice.

6. Premium Content and Subscriptions

Users may offer premium content behind a paywall using Flicker Coins. By purchasing premium content, you gain access to that specific content only. Premium subscriptions auto-renew unless canceled. All purchases of virtual currency and premium content are final and non-refundable, except as required by applicable law.

7. Live Streaming

The Service includes live streaming features. When using live streaming, you agree to:

  • Comply with all applicable laws and regulations.
  • Not broadcast content that violates our Community Guidelines.
  • Not engage in activities that could cause harm to viewers or participants.
  • Accept that live streams may be recorded and stored by Kaosly for moderation purposes.
  • Not use live streaming for illegal gambling, sale of regulated substances, or other prohibited activities.

8. Intellectual Property

8.1 Kaosly's Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Kaosly. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used without our prior written permission.

8.2 Copyright Infringement

We respect the intellectual property rights of others and expect our users to do the same. If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement, please refer to our DMCA/Copyright Policy.

9. Content Moderation

Kaosly reserves the right, but is not obligated, to monitor, edit, or remove any User Content at our sole discretion, for any reason, including but not limited to content that violates these Terms, our Community Guidelines, or applicable law. We may use automated systems (including AI-based moderation) to detect policy violations.

10. Third-Party Services

The Service may contain links to third-party websites or services that are not owned or controlled by Kaosly. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that Kaosly shall not be responsible or liable for any damage or loss caused by the use of such third-party services.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. You may delete your account at any time through the Service settings. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. KAOSLY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KAOSLY, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

14. Indemnification

You agree to defend, indemnify, and hold harmless Kaosly and its licensees, partners, employees, contractors, agents, officers, and directors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from: (i) your use of and access to the Service; (ii) your violation of these Terms; (iii) your violation of any third-party right, including intellectual property or privacy rights; or (iv) any User Content posted by you.

15. Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996, with the seat of arbitration being New Delhi, India.

16. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use the Service after revisions become effective, you agree to be bound by the revised terms.

17. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy and Community Guidelines, constitute the entire agreement between you and Kaosly regarding the Service.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights.
  • Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
